4 Contract Clauses Every Paving Contractor Needs

These four clauses prevent the most common — and most expensive — disputes in the paving industry.

Change Order Clause

Scope creep is the #1 source of unpaid work in paving. This clause requires written client approval before any additional work begins — protecting you from "I thought that was included" disputes.

Sample Language

"Any changes to the scope of work described herein must be documented in a written Change Order signed by both parties before work commences. Contractor is not obligated to perform additional work without a signed Change Order."

Weather Delay Clause

Asphalt cannot be laid in rain or below-temperature conditions. This clause protects your schedule and prevents penalties for weather-related delays outside your control.

Sample Language

"Contractor reserves the right to delay or reschedule work due to weather conditions unsuitable for asphalt installation, including rain, temperatures below 50°F, or forecast inclement weather within 24 hours."

Warranty Clause

Define exactly what your warranty covers — and what it does not. Drainage failures, tree root damage, and excessive vehicle weight are common warranty exclusions that should be written in.

Sample Language

"Contractor warrants all labor and materials for a period of [X] years from completion date, provided the surface is maintained per industry standards. Warranty does not cover damage from improper drainage, tree root intrusion, or loads exceeding design capacity."

Lien Rights Notice

In most US states, contractors have the right to place a mechanic's lien on a property for non-payment. Including this notice in your contract puts clients on notice and strengthens your collection position.

Sample Language

"Contractor reserves all rights to file a mechanic's lien or materialman's lien against the property in the event of non-payment as permitted under applicable state law."

Frequently Asked Questions

Do paving contractors need a formal contract?▼

Yes — for any job over a few hundred dollars, a written contract protects both parties. It defines exactly what work will be done, at what price, under what terms. Without a contract, disputes about scope, payment, and warranty are difficult to resolve and expensive to litigate.

Can a signed proposal serve as a contract?▼

Yes, if it contains the key elements: scope of work, price, payment terms, and acceptance signature. Many paving contractors use their proposal as the contract by adding terms and conditions to the bottom. PaveDesk's proposals include an e-signature that creates a legally binding acceptance.

What warranty should I offer on asphalt work?▼

Industry standard for new asphalt installation is 1–3 years on labor and materials, depending on the job type and region. Sealcoating typically carries a 1-year warranty. Always exclude damage from drainage issues, tree roots, and overloaded vehicles — these are outside your control.

How do I handle change orders in my contract?▼

Include a clause requiring written approval for any changes before work begins. Never perform additional work based on a verbal request. PaveDesk has a built-in change order feature that documents the change, gets client approval, and updates the contract price automatically.
